1. Briefing
SDEPCI PROJETOS E CONSTRUÇÃO DO BRASIL LTDA. (herein referred as “the Company”) is a subsidiary of SHANDONG ELECTRIC POWER ENGINEERING CONSULTING INSTITUTE CORP., LTD. that operates business in energy and engineering industry in Brazil.
During the past few years, the Company has been well executing PAMPA SUL Project, a coal fired power generating facility located in the Municipality of Candiota, State of Rio Grande do Sul, Brazil as an EPC Contractor, and currently the Company is handling regular affairs in the after hand-over period.
Considering the upcoming engineering projects and to ensure the business operation of the Company running in legitimate and compliance circumstance, the Company is looking for a professional law firm to provide legal services and supports to the company’s business operation and engineering projects related issues.
2. Service Scope of Legal Service
The scope of legal service shall at least include following service items:
Part 1 - PAMPA SUL Project
PAMPA SUL Project affairs: legal support for settlement of PAMPA SUL Project related issues, e.g. tax issues, labor issues, subcontractors disputes, etc.
Part 2 – Upcoming Projects
(1) Projects’ EPC Contractual Administration: legal support for settlement of disputes with the owner of the Projects and other Project related issues, according to the premises of Brazilian law and defense of interests of the Company.
(2) Subcontract administration: legal support for subcontract bidding stage, e.g. subcontract draft, review and amendment, analysis of deviations and opinions from potential bidders and subcontractors. legal support for settlement of disputes related to the subcontracts.
(3) Labor Administration: support for all legal issues related to Brazilian labor laws, when hiring local staff; Legal advice in order to prevent labor claims, and to handle and resolve claims that may occur related to the projects.
(4) Permanent advisory on any subject of changes in legislation and/or tax rules.
(5) Preparation and issuance of Notarial Minutes as necessary related to the project’s EPC contract and subcontractors.
(6) Legal support in meetings with project owner, subcontractors, suppliers, if any, entities and autarchies, governmental and responsible authorities with legal vision and proceedings in order to protect the Company from any possible omission and/or ignorance of local laws.
(7) Lawsuit defense: preparation and issuance of judicial and extrajudicial lawsuits notification when necessary, and defense the lawsuit in the court on behalf of the Company for any disputes and lawsuits related to the execution of project’s EPC contract and subcontracts.
Part 3 – Business Operation
(1) Legal support for business operation and corporate law matters, such as new company/branch registration, incorporation and/or amendments of any kind of company, drafting of Shareholders Meetings minutes, Board of Directors Meetings minutes, company qualification and permits processing, and advising in good governance practices.
(2) Any other legal issue where the Company demands legal supports.
3. Bidder Qualification requirements
The Bidder shall meet the following conditions:
(1) Basic qualifications requirements
1) The bidder must be: a legal service company incorporated in Brazil, and the company is in a legal business state.
2) In the past 36 months, there has been no fraudulent bid winning or serious breach of contract.
3) The business is in good condition, and it is not in a state of being ordered to suspend business, property being taken over, frozen, or bankrupt.
(2) Special qualification requirements
1) The bidder has experience in legal service business in Brazil;
2) The bidder is listed in the Qualified Legal Services Partner List of SPIC-Brazil.
4. Obtainment of RFP
Time of obtainment: 09:00, 29/July/2024-17:00, 9/August/2024 Brazilian Time
Form of obtainment: The tenderee will issue the RFP by electronic mail to potential bidders.
